Position Summary:


Operations Counsel provides legal support and advice to AdaptHealth regarding federal and state regulatory requirements. Advising the organization in securities, corporate governance and general counsel matters and mergers, acquisitions, and joint ventures. In addition, counsel may represent their employers in court, in the case of a lawsuit or other legal proceedings. They may also take part in settlement negotiations or depose witnesses if needed.


Essential Functions and Job Responsibilities:

  • Draft various documents relating to mergers and acquisitions, including merger agreements and related regulatory filings.
  • Participate in due diligence review. 
  • Advise company on securities, corporate governance, and general contract matters. 
  • Negotiating, writing, and executing agreements and contracts on behalf of the company
  • Offering counsel on a variety of legal issues
  • Advising executives within the company
  • Working alongside other departments within the company
  • Advising on contract status, legal risks, and the legal liabilities associated with different deals
  • Researching and anticipating unique legal issues that could impact the company
  • Reviewing advertising and marketing materials to ensure that they are following legal requirements
  • Providing training to the company on legal topics
  • Maintain compliance with AdaptHealth’s Compliance Program. 
  • Perform other related duties as assigned.

  • Superior communication skills in both written and verbal presentation, including all aspects of legal writing technique and procedure, and the ability to convey complex legal concepts to non-lawyers.

  • Mental alertness and the ability to properly treat confidential information.
  • Proficient computer skills and knowledge of Microsoft Office


Requirements:

Education and Experience Requirements:

  • Juris Doctorate or equivalent law degree from an accredited college. 
  • Five (5) years’ experience gained in large law firm and/or in-house with major firm
